Definitions
“You” / “your” means the individual or business using the Services.

“Open Banking Provider” means a regulated third-party provider that facilitates access to your bank account data with your explicit consent.
“Personal Data” has the meaning given in the UK GDPR.

Eligibility and account registration

Have the legal authority to enter into these Terms.
Provide accurate, current and complete information when creating an Account.
You are responsible for maintaining the confidentiality of your login details and for all activity under your Account.
Open Banking and data access
5.1 Your consent
By connecting your bank accounts through the Services, you:
Explicitly consent to us accessing your payment account information via an authorised Open Banking Provider.
Acknowledge that access is read-only, unless otherwise stated.
Understand that you can withdraw your consent at any time via your Account or by contacting us.
5.2 Role of Open Banking Providers
We rely on regulated Open Banking Providers to facilitate secure access to your account data. These providers are authorised and regulated by the Financial Conduct Authority or equivalent regulators.
Their services are subject to their own terms and privacy policies, which you should review separately.
Your responsibilities
You agree to:
Use the Services only for lawful purposes.
Ensure that all data you provide is accurate, complete and up to date.
Not misuse, interfere with, reverse engineer or attempt to gain unauthorised access to the Services.
Not upload or transmit unlawful, harmful, defamatory, or infringing content.
You remain fully responsible for your financial, tax and legal obligations, including any filings, payments or compliance requirements.
Fees and payment
If the Services are subject to fees:
Pricing is displayed on our website or app and may change from time to time.
Fees are payable in advance unless stated otherwise.
All fees are non-refundable except where required by law or expressly stated.
We may suspend or terminate access for non-payment.
Intellectual property
All intellectual property rights in the Services, including software, branding, content and design, belong to us or our licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms.
You retain ownership of your Content but grant us a licence to use it as necessary to provide the Services.
Data protection and privacy
We process Personal Data in accordance with:

Our Privacy Policy.
9.1 Roles
We act as data controller for Personal Data relating to your Account and our business operations.
We may act as data processor in respect of certain customer data, where applicable.

We implement appropriate technical and organisational measures to protect Personal Data against unauthorised access, loss or misuse.
Confidentiality
Each party agrees to keep the other’s confidential information confidential and to use it only for the purposes of providing or using the Services, unless disclosure is required by law or regulatory authority.
No advice and no guarantees
The Services provide tools, calculations and insights based on the data you supply or authorise us to access.
We do not:
Guarantee the accuracy, completeness or suitability of outputs.
Provide professional advice unless expressly stated.
Guarantee any financial, tax or commercial outcomes.
You are solely responsible for verifying outputs and seeking professional advice where appropriate.
Suspension and termination
We may suspend or terminate your Account immediately if:
You breach these Terms.
We reasonably suspect fraud, misuse, or unlawful activity.
Required by law or regulatory authority.
You may terminate your Account at any time by contacting us or using in-app tools. Termination does not affect accrued rights or obligations.
Availability and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.
We may modify, suspend or discontinue any part of the Services at any time, including features, functionality or pricing, with or without notice where legally permitted.
Limitation of liability
Nothing in these Terms excludes or limits liability for:
Death or personal injury caused by negligence.
Fraud or fraudulent misrepresentation.
Any liability which cannot be excluded by law.
Subject to the above:
We are not liable for indirect, consequential, special or economic loss, including loss of profits, business, data or opportunity.
Our total aggregate liability to you in connection with the Services shall not exceed the fees you have paid to us in the 12 months preceding the claim, or £100 if no fees have been paid.
Indemnity
You agree to indemnify us against any losses, claims, damages or expenses arising from:
Your breach of these Terms.
Your misuse of the Services.
Your Content or data infringing third-party rights.
Complaints
If you have a complaint, please contact us at support@getpocket.uk. We aim to respond promptly and fairly.
If you are a consumer and we cannot resolve your complaint, you may be entitled to refer it to an alternative dispute resolution provider.
Consumer rights
If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer law, including the Consumer Rights Act 2015 and Consumer Contracts Regulations.
Where digital services are supplied, you may lose your cancellation rights once performance has begun, in accordance with applicable law.
Third party services and links
The Services may integrate with or link to third-party services. We are not responsible for their content, availability or conduct, and your use of them is subject to their terms.
Assignment
We may assign or transfer our rights and obligations under these Terms to another entity. You may not assign your rights without our prior written consent.
Entire agreement
These Terms, together with any referenced policies, constitute the entire agreement between you and us in relation to the Services and supersede all prior agreements or understandings.
Severability
If any provision is found to be unlawful or unenforceable, the remaining provisions remain in full force and effect.
Governing law and jurisdiction
These Terms are governed by the laws of England and Wales.
If you are a consumer, you may bring proceedings in the courts of your home country within the UK. Otherwise, the courts of England and Wales shall have exclusive jurisdiction.
